Can the sale of the community affect the opening of a board seat?

I am in a community where the developer is pulling out of my state. We are trying to open up one more seat on our board so we have 2 out of the 3 board seats. Right now the developer is in negotiations to sell the property by the end of July, can this block us from opening up the 2nd board seat or should this have no factor at all? We are in Texas (just in case the law is different here).
